Midwest Air Responds to Hostile Bid

Cleary Gottlieb is representing Goldman Sachs, as financial advisor to Midwest Air Group, in its response to AirTran Holdings’ hostile exchange offer and proxy contest. On April 13, Midwest’s board again rejected AirTran’s bid, which had first launched on January 11 and improved on April 2.

Midwest Airlines provides jet service throughout the United States. Midwest’s Skyway Airlines subsidiary partners with SkyWest Airlines to operate Midwest Connect; all told, the airlines serve 51 cities.

AirTran Airways, one of America’s largest low-fare airlines, operates more than 700 daily flights to 56 destinations. The airline’s hub is at Hartsfield-Jackson Atlanta International Airport.
