MoneyGram’s Sale to Madison Dearborn Partners

Cleary Gottlieb is representing BofA Securities as financial advisor to MoneyGram International Inc. (MoneyGram) in its sale to Madison Dearborn Partners LLC (MDP).

Under the terms of the agreement, funds affiliated with MDP will acquire all outstanding shares of MoneyGram common stock for $11 per share in an all-cash transaction valued at approximately $1.8 billion.

The transaction was announced on February 15, 2022, and is expected to close in the fourth quarter of 2022, subject to customary closing conditions, including approval by MoneyGram shareholders and receipt of regulatory approvals, including required approvals in various jurisdictions related to money transmitter licenses. The transaction will result in MoneyGram becoming a privately held company.
