Cleary Gottlieb represented Credit Suisse, Merrill Lynch and J.P. Morgan as representatives of the initial purchasers in the debut equity offering by Organización Cultiba, S.A.B. de C.V. in the international capital markets. The transaction consisted of an offering of 74,256,853 shares of common stock by Cultiba and an additional 23,748,036 shares of common stock by the selling shareholders. The shares were offered in a global offering consisting of a public offering in Mexico through the Mexican Stock Exchange and a private placement in the United States under Rule 144A and outside of the United States in reliance on Regulation S. The common stock is listed on the Mexican Stock Exchange under the symbol “CULTIBAB.”
The deal priced on January 30 and closed on February 6. The offering price was Ps.35.00 per share.
Proceeds from the offering to the company were approximately Ps. 2,500 million (approximately US$195 million) after deducting the fees and expenses payable by the company.
Organización Cultiba, S.A.B. de C.V. is a leading non-alcoholic beverage company in Mexico that produces, sells and distributes carbonated and non-carbonated soft drinks and water jugs, as well as producing and selling sugar and sugar-related products. The company is the exclusive bottler of PepsiCo trademark beverages in Mexico.
