Cleary Gottlieb is representing Warburg Pincus portfolio company, Sotera Health LLC, in the sale of Nordion (Canada) Inc.’s Medical Isotopes businesses to a subsidiary of BWX Technologies, Inc.
The sale includes Nordion’s radiochemical and contract manufacturing operations. Through the agreement, both BWXT ITG Canada, Inc. and Nordion will continue to operate from Nordion’s facility in Kanata, Ontario. The transaction, which was announced on April 17, 2018, is expected to close in the fourth quarter of 2018, subject to Canadian and U.S. regulatory review and approval.
Sotera Health is a global company that operates three companies (Sterigenics, Nelson Labs, and Nordion) and uses scientific expertise to ensure safety across the medical device, pharmaceutical, tissue, and food industries. Nordion is a leading provider of products (including gamma technologies) used for the prevention, diagnosis, and treatment of disease.
