Southwestern Energy in $600 Million Offering

Cleary Gottlieb represented Southwestern Energy Company in a Rule 144A/Reg. S offering of $600 million of its 7½% senior notes due February 1, 2018. The offering proceeds will be used to repay outstanding indebtedness under Southwestern Energy’s revolving credit facility. The offering priced on January 11 and closed on January 16.
Cleary Gottlieb has represented long-time client Southwestern Energy in various prior financing transactions, including, most recently, the January 2007 amendment of the revolving credit facility to be repaid and a $575 million equity offering in September 2005.
Southwestern Energy is an independent oil and gas exploration and production company with core areas of operations in the Arkoma Basin in Arkansas and East Texas, with additional operations in the natural gas gathering and marketing business .
