SpartanNash to Sell to C&S Wholesale Grocers for $1.77 Billion

Cleary Gottlieb is representing SpartanNash Company (SpartanNash) in a definitive merger agreement for its sale to C&S Wholesale Grocers LLC (C&S) for a purchase price of $26.90 per share of SpartanNash common stock in cash, representing total consideration of $1.77 billion, including assumed net debt.

The transaction price represents a 52.5% premium over SpartanNash’s closing price on June 20, 2025, of $17.64, and a premium of 42% to its 30-day volume-weighted average stock price as of June 20, 2025. The transaction is expected to close in late 2025, subject to certain customary closing conditions.

SpartanNash is a food solutions company that delivers the ingredients for a better life. Its global supply chain network serves wholesale customers that include independent and chain grocers, national retail brands, e-commerce platforms, and U.S. military commissaries and exchanges.

C&S is an industry leader in supply chain solutions and wholesale grocery supply in the United States. Founded in 1918 as a supplier to independent grocery stores, C&S now services customers of all sizes, supplying more than 7,500 independent supermarkets, chain stores, military bases, and institutions with over 100,000 different products.
