Total Capital Canada Ltd. and Total Capital International in $3.25 Billion SEC-Registered Note Offering

Cleary Gottlieb acted as counsel to the underwriters in connection with Total Capital Canada Ltd.’s SEC-registered offering of $1 billion Floating Rate Guaranteed Notes due 2016, $1 billion 1.450% Guaranteed Notes due 2018, $1,000,000,000 2.750% Guaranteed Notes due 2023 and Total Capital International’s SEC-registered offering of $250 million 0.750% Guaranteed Notes due 2016. All notes are guaranteed by Total S.A. The transactions, which closed on January 17, 2013 and January, 25, 2013, were managed by Barclays, BofA Merrill Lynch, Morgan Stanley, RBC and Societe Generale.
