Total in $3.0 Billion SEC-registered Notes Offerings

Cleary Gottlieb acted as counsel to the underwriters in connection with Total Capital International’s SEC-registered offering of $500,000,000 1.000% Guaranteed Notes due 2016, $500,000,000 Floating Rate Guaranteed Notes due 2018, $1,000,000,000 3.700% Guaranteed Notes due 2014 and Total Capital’s SEC-registered offering of $1,000,000,000 2.125% Guaranteed Notes due 2018. All notes are guaranteed by Total S.A. The transactions, which closed on August 12, 2013, were managed by BofA Merrill Lynch, Credit Suisse, Citi, BNP Paribas and Mitsubishi UFJ Securities.
