Total in Sale of Fertilizer Subsidiaries GPN and Rosier

Cleary Gottlieb represented the Total Group in the sale to the Borealis Group of its wholly-owned subsidiary GPN, France’s largest nitrogen fertilizer manufacturer, and of its 56.86% interest in Rosier, a Belgian mineral fertilizer manufacturing company listed on NYSE Euronext Brussels. The acquisition by Borealis of Total’s 56.86% interest in Rosier requires Borealis to launch a mandatory public takeover bid for the remaining outstanding shares. Both sales closed on June 28, 2013.
