Towers Watson in Secondary Public Offering of Common Stock

Cleary Gottlieb represented the underwriters, led by BofA Merrill Lynch and Goldman Sachs, in a secondary public offering of 4,921,001 shares of Class A common stock of Towers Watson & Co., including 641,768 shares pursuant to the exercise by the underwriters in full of their over-allotment option. The initial transaction closed on September 22 and the over-allotment closed on October 1.
