Cleary Gottlieb is representing TPG Capital in its acquisition of Vertafore from Hellman & Friedman and its co-investor JMI Equity for total consideration of $1.4 billion and in the debt and equity financing for the acquisition. Vertafore is a provider of software and information to the insurance distribution channel including independent agents, brokers, managing general agents, carriers and insurers. The merger agreement and financing commitment papers were signed on June 9 and the transaction is expected to close in the third quarter of 2010.
