U.S. Treasury in Public Offering of AIG Common Stock

Cleary Gottlieb acted as counsel to the underwriters, led by Bank of America Merrill Lynch, Barclays Capital, Citigroup Global Markets, Credit Suisse, Deutsche Bank, Goldman Sachs, J.P. Morgan, Macquarie Capital, Morgan Stanley, UBS and Wells Fargo, in the U.S. Department of the Treasury’s sale of 188,524,590 shares (including 24,590,164 shares purchased by the underwriters pursuant to the full exercise of their over-allotment option) of its American International Group common stock at $30.50 per share. The aggregate proceeds to Treasury from the common stock offering are expected to be approximately $5.75 billion.
