US Airways in $185 Million Public Offering of Common Stock

Cleary Gottlieb advised Merrill Lynch, Pierce, Fenner & Smith Incorporated as sole underwriter in US Airways Group, Inc.’s $185 million registered public offering of 21,850,000 shares of common stock, including full exercise of the underwriter’s over-allotment option. The offering closed on August 19.

Due to the high volatility and trading volume of US Airways’ common stock, the transaction was launched during market hours in order to allow Merrill Lynch to rapidly place the securities while trading was temporarily halted by the New York Stock Exchange at the request of US Airways.

US Airways is the fifth largest domestic airline, operating approximately 3,500 flights per day and serving more than 230 communities in the United States, Canada, Europe, the Caribbean and Latin America.
