Veolia Environnement in $788 Million Thermal Acquisition

Cleary Gottlieb represented Veolia Environnement in its subsidiary Veolia Energy North America’s $788 million acquisition of all of Thermal North America, Inc.’s capital stock from a Sowood funds-affiliated entity. The acquisition is Veolia Energy’s largest in North America to date. The deal was signed in early June and is expected to close during the fourth quarter of 2007 or first quarter of 2008, pending regulatory approvals.
