Volcan in $600 Million Senior Notes Offering

Cleary Gottlieb represented J.P. Morgan and Morgan Stanley as initial purchasers in a $600 million offering by Volcan Compañía Minera of its 5.375% Senior Notes due 2022. The transaction closed on February 2. The notes, issued in reliance on Rule 144A and Regulation S, are guaranteed on a senior basis by Volcan’s largest subsidiaries and will be listed on the Luxembourg Stock Exchange. The proceeds from the issuance of the notes will be used for general corporate purposes, including funding expansion projects and acquisitions.

Volcan is a diversified Peruvian mining company and a major global producer of zinc, silver and lead. Founded in the early 1940s, Volcan has consistently ranked among the ten largest producers of these metals globally every year from 2006 to 2010 and is one of the lowest-cost metal producers worldwide. Volcan is a publicly held corporation, whose common shares are listed on the Lima Stock Exchange.
