YPF in $300 Million Term Loan

Cleary Gottlieb represented YPF S.A. (YPF), as borrower, in a $300 million term loan facility, with Banco Santander S.A. as lender and TMF Group New York LLC as administrative agent.

The transaction was executed on September 25, 2025, and closed on September 29, 2025. YPF intends to use the proceeds of the facility to finance a portion of the purchase price of 100% of the stock of Vaca Muerta Inversiones S.A.U., pursuant to an acquisition agreement entered into with Total Austral S.A.
