Alternative Capital Raising for Public Companies (2022 ed.)

Adam Fleisher and Sophie Grais have written “Alternative Capital Raising for Public Companies,” the 2022 edition of a chapter for the PLI’s Financial Products Fundamentals treatise.

This chapter has been updated to cover recent changes to SEC rules and market trends. It discusses options public companies have beyond traditional underwritten SEC-registered offerings for cash when they raise capital in securities offerings. In particular, the chapter examines the following transactions and structures, and the principal federal securities law and related considerations they raise:
