European Commission Implements New Policy to Investigate Transactions That Would Otherwise Escape Merger Review

In March 2021, the European Commission issued a guidance paper that, with immediate effect, encourages national competition authorities to refer to the EC transactions that do not meet national merger control thresholds and would therefore otherwise escape merger control in the EU.

The new policy represents the most significant revamp of the EU merger control regime since the enactment of the recast EU Merger Regulation in 2004.
