On 17 October 2018, the UK Takeover Panel published Panel Consultation Paper 2018/1 (the PCP), which proposes amendments to the UK Takeover Code in relation to asset valuations. This Alert Memo summarises the Takeover Code rules relating to asset valuations published during the course of a bid (e.g., as part of a target’s defence to a hostile bid) and the amendments that are being proposed in the PCP. The PCP invites comments by Friday, 7 December 2018.
