Adrianna Vallee’s practice focuses on the formation and ongoing operation of “permanent capital” retail investment vehicles, including business development companies (BDCs), interval funds, semi-liquid funds, and other structures designed to broaden access to private markets.
Her practice also includes the structuring, formation, and administration of private investment funds and related corporate transactions.
She advises asset managers on a range of fund formation, capital markets, and securities law matters and has sought and obtained SEC exemptive and no-action relief on behalf of regulated funds. Adrianna also advises on U.S. investment adviser registration and regulation and supports fund boards on governance and compliance matters under the Investment Company Act of 1940, including in connection with mergers and acquisitions involving regulated funds.
Adrianna joined the firm in 2025 from another major international law firm.
