Alex Talarides’ practice focuses on defending companies and their officers and directors, as well as investment banks and underwriters, in securities class actions, shareholder derivative suits, mergers and acquisition litigation, and other shareholder-related disputes, and advising clients on corporate governance and disclosure matters.

He has extensive experience representing public and private companies and their D&Os, as well as investment banks and underwriters, in securities and corporate governance-related litigation and other complex commercial litigation. He also regularly advises companies and their boards on corporate governance best practices and fiduciary and disclosure duties.

Alex joined the firm as a partner in 2026 from another major international law firm.

Notable Experience (including those prior to joining Cleary)

  • Nextpower Securities & Derivative Litigation. Obtained dismissal of securities class action and stockholder derivative suits against Nextpower and its senior officers and board of directors.

  • Apple Securities & Derivative Litigation. Represented Apple and its executive officers in securities fraud class action and related parallel stockholder derivative litigation against the company’s board of directors.

  • Enviva Securities Litigation. Obtained dismissal of Securities Act claims against underwriting syndicate led by Goldman Sachs in securities class action arising out of Enviva’s secondary offering.

  • LendingClub Securities & Derivative Litigation. Obtained dismissal of securities fraud class action against LendingClub and its senior officers. The dismissal was affirmed by the U.S. Court of Appeals for the Ninth Circuit. Also obtained dismissal of stockholder derivative action against LendingClub’s board of directors.

  • PayPal Holdings Securities & Derivative Litigation. Obtained dismissal of multiple securities fraud class actions against PayPal and its senior officers. Also obtained dismissal of stockholder derivative action against PayPal’s board of directors.

  • Nordstrom Derivative Litigation. Obtained dismissal of stockholder derivative action against Nordstrom’s board of directors. The dismissal was affirmed by the U.S. Court of Appeals for the Ninth Circuit.

  • NVIDIA Securities Litigation. Obtained dismissal of securities fraud class action against NVIDIA and its top officers. The dismissal was affirmed in a precedent-setting opinion by the U.S. Court of Appeals for the Ninth Circuit.

  • Chesapeake Energy Securities & Derivative Litigation. Obtained dismissal of multiple securities fraud class actions against Chesapeake Energy, its top officers, and board of directors. The dismissals were affirmed in precedent-setting opinions by the U.S. Court of Appeals for the Tenth Circuit. Also obtained dismissal of multiple stockholder derivative actions against Chesapeake Energy’s board of directors, which were also affirmed in precedent-setting decisions.

  • Deckers Outdoor Securities & Derivative Litigation. Obtained dismissal of multiple securities fraud class actions against Deckers Outdoor and its top officers. Also obtained dismissal of stockholder derivative action against Deckers Outdoors’ board of directors, which was affirmed in a precedent-setting opinion by the California Court of Appeal.
