Iarlaith McCarthy-Hann’s practice focuses on the UK and international tax aspects of private equity transactions, fund formation and fundraising, and corporate finance.
He regularly advises on the tax aspects of M&A deal execution and structuring for private equity sponsors, including management incentive and other equity planning, carried interest structuring, and transaction structuring and has worked extensively on acquisition finance and loan documentation. He also represents clients on fund formation and fundraising matters, as well as acquisition and fund financing.
Iarlaith has experience advising private equity firms on the implementation of management incentive plans, the formation of employee benefit trust structures, and has worked with clients on carried interest structuring for buyout funds.
Iarlaith joined the firm as an associate in 2025 from another major international law firm, where he was an associate in the Tax team.
