Naomi Burgoyne’s practice focuses on EU and UK competition law and merger control.

She brings a unique combination of experience from both the pubic and private sector having led several international mergers and antitrust investigations.

Most recently, Naomi served as Senior Director of Mergers at the Competition and Markets Authority (CMA), where she acted as decision maker on a number of complex Phase 1 merger cases and as the Senior Responsible Officer for some of the most significant CMA Phase 2 merger investigations of recent times. She also played a key role in recent reforms to UK merger control including the CMA’s approach to global deals, remedies, and efficiencies. Before that, she served in a similar role as Director of Mergers.

In the private sector, she represents clients on merger filings and antitrust investigations before the European Union, the CMA, and national competition authorities in Europe. She has also advised clients on the legality of a wide range of commercial agreements and business practices under competition law, with a particular focus on the digital sector.

Naomi joined the firm as a partner in 2026 after serving six years at the CMA. Before that, she worked at another leading international law firm.

Notable Experience (including those prior to joining Cleary)

Competition and Markets Authority

  • Vodafone/Three. Merger between two of the four mobile networks in the UK, cleared at Phase 2 subject to a package of behavioral remedies designed to lock in efficiencies.

  • Associated British Foods/Hovis. Merger between two of the three leading suppliers of bread in the UK cleared at Phase 2 on the basis of an exiting firm counterfactual. First fast track to Phase 2 under the Digital Markets, Competition and Consumers Act.

  • Getty/Shutterstock. Merger between global suppliers of visual content.

  • Tate & Lyle/Tereos. Merger of two of three leading suppliers of sugar in the UK, cleared at Phase 2.

  • GXO/Wincanton. Merger between suppliers of logistics services cleared at Phase 2 subject to conditions.

  • Thermo Fisher/Olink. Mutijurisdictional merger relating to supply of technology that can be used in proteomics discovery and analysis, cleared at Phase 1.

  • Viasat/Inmarsat. Merger between global suppliers of satellite connectivity cleared at Phase 2 and investigated in parallel with the DOJ and European Commission.

  • Bellis/Asda. Merger between operators of petrol forecourts across the UK. First use of a “decision rule” for local markets assessment at Phase 1.

  • National Grid/Western Power Distribution. Acquisition by National Grid, the owner of the electricity transmission network in the UK, of Western Power Distribution, an electricity distribution business.

  • Cargotec/Konecranes. Merger of suppliers of container handling equipment. Investigated in parallel with the DOJ and European Commission.
