Chris moderated the panel, “Managing the Sign-to-Close Period,” which discussed how M&A teams are structuring interim operating covenants for slow-close transactions, avoiding gun jumping while planning for rapid post-close actions, and overseeing working capital mechanisms and closing adjustments to prevent gaming.

Benet moderated the panel, “Securing Critical Talent,” which discussed how corporate M&A teams optimize earn-outs and contingent consideration, how retention milestones can be effectively engineered to align with value creation, the most effective mechanisms for aligning incentives among stakeholders, and the use of restrictive covenants and non-competes changed in light of recent legal scrutiny and policy changes.
