€327 Million Monetization by Air France-KLM of Interest in Amadeus IT Holding

Cleary Gottlieb acted as counsel to Air France-KLM in connection with the Rule 144A/Reg S offering of 9,857,202 ordinary shares of Amadeus IT Holding, representing approximately 2.2% of the share capital of the Spanish company. The offering was managed by Citigroup Global Markets, which acted as sole initial purchaser. The transaction, which launched and priced on January 15, 2015, settled on January 21, 2015.
