Cleary Gottlieb represented long-time client American Express Company (American Express) in American Express Global Business Travel’s (GBT) acquisition of Egencia, the leading digital travel management platform.
As part of the transaction, Expedia Group (Expedia) has become a shareholder in GBT. Expedia has also entered into a long-term agreement to provide accommodations supply to GBT.
GBT’s binding offer to acquire Egencia was announced on May 4, 2021, and completion of the acquisition was announced on November 2, 2021.
GBT is the world’s leading business partner for managed travel. GBT is a joint venture between American Express and an investor group led by private equity firm Certares.
