Cleary Gottlieb represented American Tower Corporation in its acquisition of CoreSite Realty Corporation, for $170 per share in cash.
The total consideration for the transaction, including the assumption and/or repayment of CoreSite’s existing debt at closing, is approximately $10.1 billion.
The transaction, which was signed on November 14, 2021, and announced on November 15, 2021, was structured as a tender offer followed by a second-step merger. Following the expiration of the tender offer on December 28, 2021, as scheduled, American Tower Corporation accepted all tendered shares for payment and thereafter completed the second-step merger.
