Cleary Gottlieb represented BofA Securities, Inc., J.P. Morgan Securities LLC, Larrain Vial S.A. Corredora de Bolsa, and Bci Corredor de Bolsa S.A., as dealer managers, in Banco de Crédito e Inversiones’ capital increase of approximately $675 million, conducted through a rights offering to existing shareholders and a subsequent private placement of newly issued shares.
The offering was conducted in the United States pursuant to Rule 801 under the U.S. Securities Act of 1933 and outside the United States in accordance with Regulation S under the same act. The subsequent private placement was conducted under the exemption outlined in Section 4(a)(2) of the U.S. Securities Act of 1933.
Founded in 1937 and headquartered in Chile, Banco de Crédito e Inversiones has grown to become one of Chile’s largest banks, boasting total assets in the region of $96 billion. Its expansive financial footprint extends through the Americas, with operations in the United States and Peru.
