Goldman Sachs and Banco do Brasil in Acquisition Financing to Leading Brazilian Credit and Debit Card Services Provider

Cleary Gottlieb represented Goldman Sachs Bank USA and Banco do Brasil S.A. as joint lead arrangers, joint lead bookrunners and lenders in a $400 million senior unsecured bridge term loan to Cielo USA, a wholly-owned subsidiary of Cielo S.A.

Cielo is a leading Brazil-based company that provides services related to credit cards and other payment methods. The deal closed on August 23.

Cielo will use the loan proceeds to finance its acquisition of Merchant eSolutions, a leading U.S.-based e-Commerce payment services provider.
