Soitec Share Offering

Cleary Gottlieb represented Natixis, as sole underwriter, in connection with a €83 million offering of new shares by Soitec. The offering was launched on June 25, 2014 and closed on July 22, 2014. The new shares were offered initially through the distribution of preferential subscription rights to existing holders of Soitec shares, including qualified institutional buyers in the United States. An underwritten offering outside the United States by Natixis, as underwriter, was contemplated for any shares not subscribed through the exercise of rights, but was not used because the rights were fully exercised.

Soitec is a French company that manufactures and sells silicon-on-insulator wafers for the semiconductor industry, concentrated photovoltaic modules and power plant installations in the solar energy industry and materials used in the production of light emitting diodes. Its shares are listed on compartment B of the regulated market of Euronext Paris.
