Synopsys in Cooperation Agreement with Elliott Investment Management

Cleary Gottlieb advised Synopsys Inc. (Synopsys) in its engagement with Elliott Investment Management (Elliott), resulting in a settlement agreement pursuant to which Synopsys agreed to add Elliott Managing Partner Jesse Cohn to the Synopsys board.

Following the public disclosure of Elliott’s multibillion-dollar investment in March 2026, the Cleary team worked with Synopsys to negotiate the agreement. Under the settlement, Elliott has agreed to a customary standstill and voting commitments.
