The Bank of New York’s $1.5 Billion Notes Offering

Cleary Gottlieb represented the underwriters in The Bank of New York’s registered offering of $750 million 4.54% fixed-rate/floating-rate callable senior medium-term notes Series J due 2032 and $750 million 5.085% fixed-rate/floating-rate callable senior medium-term notes Series J due 2037.

The representatives of the underwriters for the offering were Goldman Sachs & Co. LLC, Lloyds Securities Inc., Morgan Stanley & Co. LLC, Academy Securities Inc., and BNY Mellon Capital Markets LLC. The transaction priced on April 16, 2026, and is expected to settle on April 23, 2026.
