Cleary Gottlieb represented the underwriters in The Bank of New York’s $2.5 billion registered offering, consisting of $300 million floating-rate callable senior medium-term notes Series J due 2030, $1.2 billion 4.755% fixed-rate/floating-rate callable senior medium-term notes Series J due 2030, and $1 billion 5.182% fixed-rate/floating-rate callable senior medium-term notes Series J due 2034.

The transaction priced on August 5, 2026, and is expected to settle on August 12, 2026.

The representatives of the underwriters for the offering were BofA Securities Inc., Goldman Sachs & Co. LLC, TD Securities (USA) LLC, R. Seelaus & Co. LLC, and BNY Mellon Capital Markets LLC.
