AIG’s €1.125 Billion Offering

Cleary Gottlieb represented the underwriters in an offering by American International Group Inc. (AIG) of €1.125 billion aggregate principal amount of notes.

The notes offering consisted of €625 million of 4.25% notes due 2031 and €500 million of 4.75% notes due 2036.

Cleary has represented the underwriters in numerous prior securities offerings by AIG, dating back to AIG’s re-IPO in 2011, and including AIG’s carve-out of its former life and retirement subsidiary, Corebridge Financial Inc.’s $1.7 billion IPO.

The notes offering was led by Deutsche Bank AG, London Branch, J.P. Morgan Securities plc, BNP PARIBAS, and Citigroup Global Markets Limited, as joint global coordinators and representatives of the underwriters. In all, 12 underwriters participated in the notes offering, which priced on September 15, 2026. The offering is expected to close on September 24, 2026.
