Cushman & Wakefield in Redomiciliation From England and Wales to Bermuda

Cleary Gottlieb represented Cushman & Wakefield (NYSE: CWK) in the redomiciliation of its parent entity from England and Wales to Bermuda.

The redomiciliation was implemented on November 27, 2025, through a UK scheme of arrangement. Cushman & Wakefield filed a definitive proxy statement relating to the redomiciliation on September 4, 2025, and obtained the requisite shareholder approval on October 16, 2025. The scheme of arrangement was sanctioned by the High Court of Justice of England and Wales on November 25, 2025.
