Synopsys in $2 Billion Private Placement and Strategic Partnership With NVIDIA

Cleary Gottlieb represented Synopsys Inc. (Synopsys) in the private placement of $2 billion of its common stock to NVIDIA Corporation (NVIDIA).

Concurrently with the private placement, Synopsys and NVIDIA entered into a multi-year collaboration agreement spanning NVIDIA CUDA accelerated computing, agentic and physical AI, and Omniverse digital twins to achieve simulation speed and scale previously unattainable through traditional CPU computing.
