Howmet Aerospace in $1.8 Billion Acquisition of Consolidated Aerospace Manufacturing from Stanley Black & Decker

Cleary Gottlieb is representing Howmet Aerospace Inc. (HWM) in its announced acquisition of Consolidated Aerospace Manufacturing, a leading global designer and manufacturer of highly engineered hardware and fastener solutions for aerospace and defense applications, from Stanley Black & Decker (SWK) for an all-cash purchase price of approximately $1.8 billion.

The transaction is expected to close in the first half of 2026, subject to customary closing conditions and regulatory approvals.
